Capital Advisory

Capital Structured
Before It's Sourced.

We advise sponsors on how a capital stack should be built, then arrange the debt, equity, or blended capital to complete it. Engineered from the start — not assembled after a shortfall shows up at closing.

Where a single lender stops

Portfolio advisory and co-sponsorship are structurally different engagements, scoped per mandate rather than run as a single transaction.

Four Service Verticals

Advisory Is Not One Service.

Every engagement is classified at intake. That classification determines the scope, the governance, and the shape of the engagement — so both sides know exactly what JFL is being engaged to do.

VERTICAL A
Capital Sourcing & Structuring

The core engine. We originate, structure, and arrange debt, equity, or blended capital for a specific transaction — positioning each layer of the stack correctly before going to market. Complex-capital work sits inside this vertical as a technical specialty.

VERTICAL B
Development Advisory

Pre-development strategy for ground-up and adaptive-reuse projects: capital stack planning, scope and budget validation, and program strategy — the work that happens before a raise is ready to launch.

VERTICAL C
Portfolio & Asset Management Advisory

Ongoing advisory on a portfolio you already own — a continuing engagement rather than a single closing. Structured per engagement, against the specific mandate.

VERTICAL D
Co-Sponsorship

Where JFL steps in alongside a sponsor as co-general partner rather than remaining purely advisory. Structurally different from A–C: an ownership position, underwritten and documented accordingly.

What We Structure

Complex Capital Structures.

Within capital sourcing, we work across the full stack — layered structures that require the pieces to be sequenced correctly from day one. Tax credits and incentives are one capability among these, not a separate line of business.

A Line We Do Not Cross

JFL originates, structures, and refers capital — including tax credit transactions. We do not raise, syndicate, or hold tax credit equity directly. That discipline keeps every engagement inside a clean regulatory lane — it is a structural boundary, not a stylistic preference.

How an Engagement Runs

Classified First. Then Structured.

01
Classification at Intake

We determine which vertical the engagement belongs to before any terms are quoted. Whether JFL is placing capital or taking a position changes the entire structure of the relationship.

02
Engagement Letter

Scope and deliverables are documented in writing before any work begins, so both sides know exactly what JFL is engaged to do and what a successful outcome looks like.

03
Structure Design

We model the full stack — senior debt, mezzanine, preferred equity, credits, and gap capital — and stress the sequencing and cost of each layer before approaching the market.

04
Market Outreach

We take a structured, defensible package to lenders, syndicators, and community development entities — with the diligence work already done.

05
Close

We coordinate through term sheet, diligence, and closing, and stay engaged where sequencing between capital sources determines whether the deal actually funds.

Who This Is For

Sponsors Whose Capital Stack Is Too Complex for a Single Lender.

Institutional commercial real estate and multifamily sponsors, developers working through pre-development, and owners managing portfolios that need a capital strategy rather than another quote — particularly where preservation, community development, or gap financing layers on top of conventional debt.

Common Questions

Answered Before You Ask.

No, and we won't. We originate, structure, and refer tax credit transactions — we do not raise, syndicate, or hold tax credit equity directly. That's a regulatory line, not a preference: crossing it would require broker-dealer registration.

On the lending side, we provide the capital for the loan. In advisory we're not the capital — we structure the stack and arrange the sources. Different engagement, different paperwork. If your deal is really a bridge, fix-and-flip, or DSCR loan, the Loan Programs page is the faster route.

It's where JFL steps in alongside you as co-general partner rather than staying purely advisory — an ownership position, underwritten and documented accordingly. Structurally different from the other three verticals, which is why it's classified at intake rather than drifted into partway through.

No one can. Awards and allocations are decided by the issuing agencies, not by us. What we can do is make sure the structure is sequenced correctly so the application isn't the thing that kills the deal.

Tell us about the project and where the capital stack is incomplete. We'll tell you plainly whether we can structure it, and which engagement it belongs in.
